(hereinafter "Advertiser")

and

Microsoft Corporation
(as the Advertising Platform Provider)

1. Purpose

This Agreement governs the terms under which the Advertiser will use Microsoft Ads to promote legal services. The Advertiser agrees to comply with all Microsoft Advertising Policies, including but not limited to Microsoft’s Legal Services Advertising Guidelines .

2. Term

This Agreement begins on the date above and continues until terminated by either party with 30 days’ written notice .

3. Advertiser Responsibilities

• Licensing & Compliance : The Advertiser certifies that it is a licensed legal services provider in all jurisdictions where it operates and will comply with all applicable laws, including state bar regulations and the American Bar Association (ABA) rules.
• Ad Content : All ads will be truthful, non-deceptive, and comply with Microsoft’s policies. The Advertiser is solely responsible for the accuracy of ad content.
• Prohibited Content : Ads will not promote illegal activities, discriminate against protected classes, or infringe on intellectual property rights.

4. Microsoft Ads Policies

• The Advertiser agrees to adhere to Microsoft’s policies on Advertising Standards , including restrictions on targeting, data collection, and prohibited content.
• Microsoft reserves the right to reject, approve, or remove ads at its discretion.

5. Payment Terms

• Payments for ads will be processed via Microsoft’s invoicing system. The Advertiser agrees to pay all charges (e.g., cost-per-click, impressions) within 30 days of invoice receipt .
• Late payments may incur a fee of 1.5% per month .

6. Confidentiality

• The Advertiser will not disclose Microsoft’s confidential information (e.g., platform algorithms, proprietary data) to third parties.

7. Data Privacy & Security

• The Advertiser agrees to comply with the General Data Protection Regulation (GDPR) and California Consumer Privacy Act (CCPA) when handling user data collected via Microsoft Ads.

8. Liability

• Advertiser Liability : Earthjustice assumes full responsibility for claims arising from its ads, including but not limited to legal disputes or regulatory penalties.
• Microsoft Liability : Microsoft is not liable for ad performance, content errors, or third-party actions.

9. Termination

• Either party may terminate this Agreement with 30 days’ written notice .
• Termination does not relieve the Advertiser of payment obligations for services rendered prior to termination.

10. Governing Law

This Agreement is governed by the laws of the State of California.
